LifeRibbon Terms of Service

1. Acceptance of Terms
By downloading, installing, or using the LifeRibbon mobile application (the "App"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the App.
These Terms apply to all users, including those who create accounts, upload content, and access the App's features. "We," "us," "our," and "LifeRibbon" refer to RUPTON LLC and its affiliates. "You" or "user" refers to any person accessing or using the App.
2. License & Permitted Use
2.1 Limited License
We grant you a limited, non-exclusive, non-transferable license to download and use the App on your personal device, subject to your compliance with these Terms and applicable law.
You may use the App to:
- Create an account and manage your profile
- Record and import audio, video, photos, and text stories
- Organize stories into projects and chapters
- Invite family members to view and collaborate on projects
- Review story transcripts and AI-generated suggestions
- Export your content in supported formats
2.2 Restrictions
You may not:
- Copy, modify, or create derivative works of the App or its code
- Reverse engineer, disassemble, decompile, or attempt to derive the source code
- Rent, lease, lend, or sell access to the App
- Use the App for commercial purposes without written permission
- Circumvent security features or authentication mechanisms
- Use the App to store or transmit illegal content
- Access or search the App through any automated means (bots, scrapers)
- Interfere with the operation of the App or its infrastructure
- Remove or alter any copyright, trademark, or proprietary notices
3. Ownership of Content
3.1 Your Content
Ownership: You retain full ownership of all stories, recordings, photos, videos, text, and other content you create or upload ("Your Content").
License to LifeRibbon: By uploading content to the App, you grant LifeRibbon a worldwide, royalty-free, non-exclusive license to:
- Store and retrieve your content
- Display your content within the App (to you and authorized users)
- Process your content for transcription and AI analysis
- Create backups and redundancy for reliability and disaster recovery
- Perform technical operations necessary to operate the App
What We Don't Do:
- We do not claim ownership of your content
- We do not use your content for marketing, advertising, or commercial purposes
- We do not share your content with third parties without your permission
- We do not use your content to train AI models without your consent
- We do not modify your original content (AI suggestions are separate)
3.2 Our Content
App Intellectual Property: The App, including its design, interface, code, features, and structure, is owned by RUPTON LLC or our licensors. The "LifeRibbon" name, logo, and branding are our trademarks.
You may not use our trademarks, logos, or branding without written permission.
4. User Responsibilities & Conduct
4.1 Account Creation
By creating an account, you agree to:
- Provide accurate, current information
- Maintain the confidentiality of your password and account
- Accept full responsibility for activities under your account
- Notify us immediately if you suspect unauthorized access
We are not responsible for unauthorized access due to your negligence or disclosure of credentials.
4.2 Acceptable Use
You agree not to use the App to:
- Distribute or post illegal content (child exploitation, violence, threats)
- Harass, defame, or abuse other users or family members
- Infringe intellectual property rights of others
- Transmit malware, viruses, or harmful code
- Spam, phish, or engage in fraud or deception
- Violate privacy rights of others (sharing private information without consent)
- Stalk, cyberbully, or threaten others
- Impersonate another person or entity
- Violate any applicable laws or regulations
4.3 Consequences of Misuse
If you violate these Terms, we may:
- Issue a warning or notice
- Suspend your account temporarily
- Terminate your account and delete your content permanently
- Report illegal activity to law enforcement
- Take legal action to recover damages
Termination is at our sole discretion. Suspended or terminated accounts forfeit access to all content and features.
5. AI Features & Transcription
5.1 Automated Transcription
How It Works:
- Your audio and video recordings are processed through OpenAI's Whisper API
- A text transcript is generated from the recording
- The transcript is stored in your project; your original recording is preserved
Quality & Accuracy:
- Transcripts are machine-generated and may contain errors
- You should review and edit transcripts for accuracy
- We are not responsible for transcription errors or inaccuracies
- If you disagree with a transcript, you can delete it and re-record
5.2 AI-Generated Suggestions
Follow-Up Questions & Summaries:
- The App may generate AI-powered follow-up questions to guide your storytelling
- These suggestions are optional and informational
- Your original story is never modified or replaced
No Training Consent:
- We do not use your content to train AI models without explicit consent
- OpenAI processes transcriptions according to its Data Processing Agreement with us
- OpenAI does not train on transcriptions without your consent
Your Control:
- You can disable AI suggestions in Settings
- You can delete any suggestion or follow-up question
- Accepting a suggestion does not modify your original story
6. Family Collaboration & Sharing
6.1 Inviting Family Members
When you invite someone to your project, you are:
- Sharing access to specific stories and content
- Authorizing them to view, comment, and (if permitted) edit content
- Responsible for ensuring they understand the content they're accessing
6.2 Responsibilities as Inviter
You agree that:
- You have the right to share the content you're inviting others to view
- You will not use the App to coerce, manipulate, or exploit others
- You will respect the privacy of family members
- You are responsible for ensuring family members respect privacy boundaries
6.3 Family Member Access
Family members you invite can:
- View stories you've shared with them (based on their role)
- Comment or respond (depending on permissions)
- Cannot modify your original stories without explicit permission
- Cannot invite others to the project without your authorization
7. Limitation of Liability
7.1 Disclaimer of Warranties
THE APP IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.
To the maximum extent permitted by law, we disclaim all warranties, including:
- Implied warranties of merchantability, fitness for a particular purpose, or non-infringement
- Warranty that the App will be uninterrupted, error-free, or secure
- Warranty that content stored in the App will never be lost or corrupted
We do not guarantee:
- Continuous, uninterrupted access to the App
- That all features will work on all devices
- That third-party services (OpenAI, Supabase) will always be available
- That backups will prevent permanent data loss
7.2 Limitation of Damages
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL WE BE LIABLE FOR:
- Loss of data, content, or information
- Loss of revenue, profit, or business opportunity
- Loss of use or enjoyment of the App
- Any indirect, incidental, special, or consequential damages
- Any damages arising from unauthorized access to your account
Maximum Liability: Our total liability under these Terms shall not exceed the amount you have paid to use the App (if applicable), or $100 USD if you have not made any payments.
7.3 Essential Basis
These limitations are essential to our ability to provide the App. You agree that these limitations are fair and reasonable.
Exception (Where Legally Prohibited): Some jurisdictions do not permit limitations of liability for gross negligence or intentional misconduct. In such jurisdictions, our liability is limited to the maximum extent permitted by law.
8. Indemnification
You agree to indemnify, defend, and hold harmless LifeRibbon, its officers, employees, and agents from any claims, damages, or costs arising from:
- Your violation of these Terms
- Your use of the App in violation of applicable law
- Your infringement of third-party intellectual property rights
- Your misuse or disclosure of another user's personal information
- Your inappropriate or illegal content
- Any dispute arising from your account or content
9. Data & Content Security
9.1 Our Responsibility
We maintain reasonable security measures, including:
- Encryption in transit (HTTPS/TLS)
- Encryption at rest in our database
- Regular security audits
- Access controls and authentication
We Are Not Responsible For:
- Unauthorized access due to compromised passwords or device security
- Loss of data caused by your device malfunction or data loss
- Damage caused by malware on your device
- Internet connectivity issues
9.2 Your Responsibility
You are responsible for:
- Keeping your password and device secure
- Not sharing your account credentials
- Enabling device security features (fingerprint, PIN, password)
- Maintaining backups of critical content
9.3 Data Breach Notification
If we become aware of a security breach affecting your personal information, we will notify you via email or in-app notification within 30 days.
10. Termination & Account Deletion
10.1 Account Termination by You
You can delete your account at any time:
- Go to Settings > Privacy & Account > Delete My Account
- Confirm your email address
- Your account and all associated data will be permanently deleted
Deletion is permanent and cannot be reversed.
10.2 Termination by LifeRibbon
We may suspend or terminate your account if:
- You violate these Terms or our privacy policy
- You engage in illegal activity
- You abuse other users or the App's infrastructure
- You create multiple accounts to circumvent restrictions
- Your account remains inactive for 2+ years
Consequences:
- Suspended accounts may be restored if the violation is resolved
- Terminated accounts lose all access; data is deleted after 30 days
- Repeated violations may result in permanent ban
10.3 Effect of Termination
Upon termination:
- Your account is deactivated immediately
- You lose access to all stories and features
- Content is deleted within 30 days
- Any sharing links or invitations become inactive
- You cannot recover content from a terminated account
11. Fees & Payments
11.1 Free Tier
The App's core features are available free. At this time, there are no subscription fees.
11.2 Future Paid Features
If we introduce premium features or subscription tiers in the future:
- We will provide notice before charging
- You will have the option to continue using free features
- Any paid features will require explicit consent before billing
- You can cancel subscriptions at any time
12. Third-Party Services & Links
12.1 Third-Party Integrations
The App uses:
- Supabase for database and file storage
- OpenAI for transcription services
- Expo for development and deployment
We are not responsible for:
- Outages or unavailability of third-party services
- Privacy practices of third-party services
- Security breaches at third-party providers
- Loss of data stored by third-party services

12.2 External Links
The App may contain links to external websites. We are not responsible for:
- Content on external websites
- Privacy practices of external websites
- Security or reliability of external sites
13. Modification of Terms
We may update these Terms from time to time. Changes will be effective 30 days after posting.
Notice:

- Email to your registered email address
- Update to the "Effective Date" at the top of this document
Your continued use of the App after an update constitutes acceptance of the new Terms. If you disagree with changes, you may delete your account.
14. Dispute Resolution
14.1 Governing Law
These Terms are governed by and construed in accordance with the laws of [Jurisdiction], without regard to its conflict of law principles.
14.2 Dispute Resolution Process
Before Legal Action: If you have a dispute with LifeRibbon, you agree to: 1. Informal Resolution: Contact us at [email protected] with a detailed description of the dispute 2. Good Faith Negotiation: We will attempt to resolve the dispute within 30 days 3. Mediation (Optional): If negotiation fails, either party may request binding mediation before arbitration or litigation
14.3 Arbitration & Litigation
If informal resolution fails:
- You and LifeRibbon agree to binding arbitration, except for claims involving intellectual property, confidentiality, or small claims court eligibility
- Arbitration will be conducted by [Arbitration Provider]
- Each party bears its own legal fees unless a specific rule applies
- Arbitration decisions are final and binding
Class Action Waiver: You agree not to participate in class action lawsuits against LifeRibbon. All claims must be brought individually.
15. Severability & Waiver
15.1 Severability
If any part of these Terms is found unenforceable, that part will be removed, and the remaining Terms will continue in full force.
15.2 Waiver
Our failure to enforce any right does not waive our right to enforce it later. Accepting a breach in one instance does not constitute acceptance of future breaches.
16. Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and LifeRibbon regarding the App. All prior agreements, understandings, and negotiations are superseded.

18. Special Provisions by Jurisdiction
18.1 California Users
If you are a California consumer, you have rights under California law:
- You may cancel within 30 days for any reason
- Some liability limitations above may not apply to intentional misconduct or gross negligence
- Your consumer rights are not limited by these Terms
18.2 European Users
If you are located in the EU:
- Your consumer rights under EU law are not limited by these Terms
- You may have rights to withdraw from your account under the Consumer Rights Directive
- Dispute resolution may be subject to mandatory EU alternative dispute resolution
18.3 Other Jurisdictions
Laws vary by location. If local law provides greater consumer protections, those protections apply in addition to these Terms.
